1 | Introduction These Terms and Conditions (“Agreement”) constitute a binding contract between Youth Hub Egypt, an Egyptian joint-stock company registered under Commercial Register No. 22594 and headquartered at 6 Ibn Al-Walid Sq., Dokki, Giza (“Company”, “Platform”, “we”, “our”, or “us”), and the natural-person trainer or legal entity that completes electronic acceptance of this Agreement (“Trainer”, “you”, or “your”). By registering a Trainer Account, accessing youthhubegypt.com or any sub-page (“Website”), or using any Platform services, you acknowledge that you have read, understood, and agreed to be legally bound by this Agreement and the Privacy Policy, each as amended from time to time.
2 | Definitions
Term Meaning
Platform / Website The proprietary website, mobile interfaces, and backend systems owned and operated by Youth Hub Egypt, including all pages, content, APIs, and services.
Trainer An individual or juridical person that opens a Trainer Account to publish training content or deliver services through the Platform.
Trainee Any end-user who registers on the Platform to consume training content or services.
Copying Any paper or electronic reproduction of Platform material, limited to the scope of the Trainer’s active subscription.
Mobile Number The GSM number supplied during registration; it serves as the Trainer’s unique identity and notification address and may not be changed without our written consent.
Verification Code The one-time code sent to the registered mobile number or email for identity confirmation.
Program The proprietary software environment that enables creation, editing, hosting, and distribution of training courses, templates, and guiding materials.

3 | Acceptance of Revised Terms We may update this Agreement at any time without prior notice. Revisions are effective immediately once posted on the Website. Continuing to access or use the Platform after revisions are posted constitutes acceptance of the amended version. Please review this page periodically.
4 | Online Code of Conduct You agree to: 1. Use the Platform only for lawful purposes and in compliance with all Egyptian laws and international copyright statutes. 2. Refrain from uploading, posting, or transmitting Prohibited Content, including but not limited to: defamation; harassment; threats; intellectual-property infringement; obscenity; political propaganda; unsolicited advertising; malware; or intentionally inaccurate or misleading information. 3. Avoid any action that could disable, damage, or overload Platform servers or networks, or that attempts to gain unauthorised access to accounts, data, or systems. 4. Refrain from scraping, harvesting, or downloading Trainee data, course rosters, or Platform content without our prior written approval. Violation of this Code of Conduct may result in immediate suspension or termination of your Trainer Account without notice.
5 | Trainer Accounts - Registration Data: You must provide your full legal name, national ID or commercial registration, email, mobile number, and any supporting documents we request. - Confidential Credentials: You may not share your login or permit a third party to access your Trainer Account. - Accuracy: All information supplied must be true, complete, and kept current. We may verify any data at any time. - Communications Consent: By registering, you consent to receive Platform newsletters, operational emails, SMS notifications, and authentication codes.
6 | Intellectual-Property Rights and Licence to Trainers 1. Platform Content: All text, graphics, videos, software, and other materials on the Website are owned by Youth Hub Egypt and protected by Egyptian and international IP laws. 2. Licence to Use Platform Content: While your subscription remains active, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and display Platform content solely to develop and market your courses. 3. Trainer Materials: - You represent and warrant that you possess all rights necessary to upload, publish, and monetise your training materials (“Trainer Content”) and that such materials do not infringe any third-party rights. - By uploading Trainer Content, you grant Youth Hub Egypt a worldwide, perpetual, royalty-free licence to host, reproduce, transmit, publicly display, adapt, promote, and sell that content on or through the Platform and related channels. - You retain ownership of your Trainer Content, subject to the licence above.
7 | Certificates After a Trainee completes course requirements, the Platform will issue a Certificate of Completion; if professional-level assessments are passed, a Professional Certificate will be issued. All certificates are electronically signed and verifiable through the Platform.
8 | TrademarksYouth Hub Egypt” and associated logos are registered trademarks. You may not use our or any partner’s trademarks in any manner—promotional or otherwise—without prior written permission.
9 | Warranty Disclaimer & Limitation of Liability The Platform, Website, and all services are provided “as-is” and “as-available.” To the maximum extent permitted by Egyptian law, we make no warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Platform will be uninterrupted or error-free. Downloading or obtaining material through the Platform is at your own risk. In no event shall Youth Hub Egypt, its directors, employees, or affiliates be liable for indirect, incidental, consequential, punitive, or special damages arising out of or in connection with your use of the Platform, even if advised of the possibility of such damages.
10 | Financial Terms 1. Revenue Share: The Trainer shall receive 70 % of the net revenue generated from sales or subscriptions of their training content. Net revenue equals gross receipts minus (i) payment-gateway fees, (ii) applicable VAT or withholding taxes, and (iii) third-party marketplace commissions, if any. 2. Payment Schedule: We remit earnings monthly, no later than 10 working days after the end of each calendar month, via bank transfer to the EGP account you designate or Vodafone Cash. 3. Minimum Payout Threshold: Payouts are processed only when accrued earnings reach EGP 3,000. Unpaid balances roll over to the next cycle. 4. Reporting: A detailed sales statement is available via the Trainer dashboard for each period. 5. Price Changes: Course list prices and revenue-share percentages may be modified only by mutual written agreement.
11 | Links to Third-Party Sites The Platform may link to external sites. We do not control and are not responsible for their content, privacy policies, or practices. Accessing such sites is at your own discretion and risk.
12 | Indemnification You agree to indemnify, defend, and hold harmless Youth Hub Egypt, its subsidiaries, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: - your Trainer Content; - your breach of this Agreement; - your violation of any law or third-party right.
13 | Termination & Course Modification - We may, in our sole discretion, suspend or terminate your Trainer Account, remove content, or alter course structures at any time with reasonable notice if you breach this Agreement or applicable law. - We may cancel, delay, or reschedule any course or discontinue any part of the Platform without liability to you. - Upon termination, outstanding earnings (if above the payout threshold) will be settled within the ordinary payment cycle; all licences granted by you remain in force.
14 | Governing Law & Dispute Resolution 1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. 2. Court Jurisdiction: The competent courts of Egypt shall have exclusive jurisdiction to resolve any dispute not subject to arbitration. 3. Arbitration Clause: Any dispute directly related to subscription matters shall first be submitted to arbitration before the Giza Chamber of Commerce, whose award shall be final and binding. This clause does not apply to actions by Youth Hub Egypt to enforce intellectual-property rights.
15 | Additional Provisions 1. The Platform offers guiding templates only; you must ensure that any template conforms to your specific contractual needs and local law. We accept no liability for misuse of guiding texts. 2. You may not print, download, or distribute Platform content for commercial use by other trainers. 3. Subscription fees cover access to Platform software, listing of your courses, and communication tools. Additional service fees apply per Trainee enrolment, as shown on the Trainer dashboard. 4. Youth Hub Egypt owns all intellectual-property rights in the Platform concept, software, design, and published materials. 5. We may amend guiding texts, terms of use, or pricing at any time; such amendments will not affect active-period subscriptions already paid. 6. Your registered mobile number constitutes your legal address for notifications; electronic notices sent to that number or your registered email are deemed received. 7. If any provision of this Agreement is held unenforceable, the remaining provisions will remain in effect. Failure to enforce any right is not a waiver.
16 | Effective Date This Agreement is effective upon the date you click “Accept” or otherwise electronically sign up as a Trainer and remains in force until terminated in accordance with Section 13.
